Our firm is poised for major growth thanks to a recent merger and is looking for an experienced and knowledgeable corporate transactional attorney to provide general legal advice and ensure regulatory compliance for privately held businesses. In this role, you will oversee risk mitigation, corporate governance, and business transactions as outside general counsel. You should be a member in good standing with the State Bar, have a current license to practice law, and possess excellent negotiation, and communication skills. Part-time (25 hours per month or more)

Responsibilities:
  • Write, review and modify legal documents, such as purchase and sale agreements, lending documents and third party agreements for various businesses, and other documents as required
  • Complete extensive due diligence and complex legal research
  • Analyze the legal risk and legal rights of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options; then form new entities and ensure annual compliance for same
  • Handle negotiations on the clients' behalf to create, modify, and execute deals

Qualifications:
  • Four-year bachelor's degree, along with a three-year law degree from an accredited law school
  • Licensed to practice law and member in good standing of the state bar association
  • Computer proficient - ability to use MS Office and Google Suite
  • Strong transactional knowledge and understanding of corporate law, securities law, and tax law is needed
  • Excellent analytical, negotiation, and communication skills are vital
