Description:

The Corporate Counsel will play a critical role in supporting the day-to-day legal needs for multiple portfolio companies within An Investment Management Company, with a focus on commercial contracts, employment matters, pre-litigation dispute resolution, and general corporate matters. This position will report to the Associate General Counsel of An Investment Management Company and will work closely with An Investment Management Company Operating Partners and portfolio company executive leadership teams.

Key Responsibilities:
  • Serve as Corporate Counsel for multiple portfolio companies within An Investment Management Company.
  • Offer prompt, practical, and business-savvy legal advice to An Investment Management Company Operating Partners and portfolio company executive leadership.
  • Draft, review, and negotiate a wide range of commercial contracts, including customer agreements, master service agreements, supply agreements, employment agreements, software licenses, real estate leases, and other commercial or corporate agreements.
  • Provide legal guidance on employment law matters, including hiring practices, employee relations, terminations, policies, and compliance with federal and state employment regulations.
  • Resolve pre-lawsuit disputes, focusing on maximizing value and minimizing legal risks and litigation.
  • Manage corporate governance of various portfolio companies, including directors/officers and entity structure, and draft corporate authorizations, consents, and related documentation.
  • Support the development and enforcement of company policies and procedures to ensure legal and regulatory compliance.
  • Collaborate with external counsel on litigation matters and represent portfolio companies in settlement negotiations.
  • Provide training and guidance to An Investment Management Company Operating Partners and portfolio company employees on compliance, risk management, and litigation avoidance.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and active state bar license.
  • Minimum of 3-5 years of relevant legal experience (law firm and/or in-house), with a strong background in commercial contracts and employment law.
  • Demonstrated ability and confidence in contract negotiations and legal project management.
  • Solid understanding of, and ability to research federal and state employment laws and regulations and other issues of corporate governance.
  • Intellectual curiosity and eagerness to broaden legal expertise across multiple practice areas and industries.
  • Ability to multitask and prioritize effectively in a fast-paced, demanding environment.
  • High emotional intelligence and adaptability to different working styles.
