Overview:
Job Duties & Responsibilities:
  • Advice and Counsel: Related to technology, product and software development, privacy and data protection, strategic growth vehicles, youth sports and education regulations and policies, and marketing and advertising matters. Provide business minded and solution focused support to A US-Based Technology Company business units, including people, operations, strategy and business development, data and analytics, product, marketing, engineering and finance.
  • Contract Negotiation and Drafting: Related to all aspects of the A US-Based Technology Company business including strategic growth vehicles (e.g., deal structure and terms, transactional and purchase agreements); marketing initiatives (e.g., agency, sponsorship, collaboration, licenses, media, adtech, influencer, etc.), business development (e.g., sales, partnership and sponsorship agreements); and complex commercial agreements (e.g., vendor agreements, SaaS/technology agreements).
  • Outside Counsel Interaction: Identifies important and emerging areas of the law for strategic outside counsel support, including matters related to privacy and data protection laws; advertising laws and regulations; intellectual property; regulatory compliance; and dispute management (including litigation and discovery). Oversees outside counsel on strategic growth matters, including due diligence and deal support.
  • Subject Matter Expertise: Knowledge and expertise in privacy (including child online protection laws), consumer protection, advertising laws and regulations, NIL laws, SaaS business models (recurring revenue, customer acquisition costs, and churn rates), and open-source software (OSS). Knowledge of employment issues. High level of business acumen, considers financial impact when making decisions.
  • Department Operations: Participates and assists in projects, both with A US-Based Technology Company and the DICK'S legal team. Works with, oversees and assists Legal Analysts with respect to legal issues and drafting.

Qualifications:
  • Juris Doctor Degree, licensed to practice in New York AND/OR Pennsylvania
  • 5-7 years experience Software/Technology Law
