An American Software Company is seeking a talented, highly motivated, team player to serve as Corporate Counsel, supporting the continued growth of An American Software Company globally. This is a great opportunity to work on transactional and other corporate legal matters in an exciting, fast-paced environment. This is a full-time position, reporting into the Head of the U.S. Corporate Legal and Global Equities team.

What you get to do in this role:??
  • Serve as key legal advisor on treasury initiatives and corporate finance transactions, including securities offerings, financings, stock repurchases and hedging activities.
  • Support the Senior Director, Legal – M&A on investments, joint ventures, mergers and acquisitions, divestitures and other strategic transactions.
  • Assist with SEC reporting and securities compliance matters, including the preparation of periodic reports, proxy statements and registration statements.
  • Assist with corporate governance and NYSE matters, compliance with corporate policies, subsidiary maintenance and equity plan issues.
  • Assist with investor relations matters, including the review of earnings announcements, earnings scripts, press releases, investor presentations and investor and other communications.
  • Support public company compliance efforts, including the development and implementation of training initiatives.
  • Inspire confidence in senior-level business clients by consistently providing sound, practical legal advice and solutions to complex issues.
  • Be a trusted and pragmatic business partner, responding in a timely and productive manner to requests from stakeholders.

Qualifications:
To Be Successful in This Role You Have:
  • Law degree from U.S. accredited law school and active membership in at least one U.S. State bar.
  • 8+ years of relevant legal experience, ideally with a blend of Am Law 100 firm and in-house public company experience.
  • Broad experience in capital markets and U.S. corporate and securities law matters.
  • Familiarity with a wide variety of strategic transaction types (e.g., private company, public company, stock purchase, asset purchase, cross-border, minority investments, joint ventures, etc.).
  • Experience managing outside counsel.
  • Significant experience with Exchange Act and Securities Act disclosure requirements.
  • Effective communicator, with ability to convey complex ideas in a clear, concise manner. Comfortable in business and technical discussions.
  • Ability to work independently; exercise good judgment in determining when to consult management, colleagues, and clients in high pressure, fast paced environment.
  • Exceptional critical thinker with strong business acumen and judgment; must be able to work independently, manage multiple priorities and pivot between responsibilities.
  • Team player with ability to work collaboratively in a cross-functional environment.
