Summary:
The Corporate Counsel provides a broad range of corporate, securities and transactional legal support to a growing, innovative, technical company. Reporting to the General Counsel, the Corporate Counsel works closely with the Company's executive and management team on important strategic matters, supports functional leaders as a team member on corporate projects and assists the General Counsel in providing corporate governance support to the Board of Directors and its committees. Additionally, one provides contractual support on commercial contracts for business area leaders.

Position Responsibilities:
  • Provides legal support on acquisitions, joint ventures and strategic investments, including due diligence, drafting, negotiating and closing transactions
  • Drafts and provides legal review of SEC filings, including periodic and current reports, proxy statements and registration statements and other securities compliance activities for a NASDAQ listed public company
  • Acts as advisor on legal issues involving the organization's government and regulatory compliance
  • Performs litigation on the company's behalf or coordinates litigation and other legal matters handled by outside counsel
  • Assists the General Counsel with corporate secretarial support to the Company's Board of Directors and its committees
  • Supports the Company's business operations on commercial contracts, frequently involving intellectual property issues
  • Works on complex issues where analysis of situations or data requires an in-depth evaluation of variable factors
  • Other duties as assigned

Basic Qualifications (Required Skills & Experience)
  • Juris Doctor (J.D.) degree from a top ABA-accredited law school
  • Bar admission in any state required. California Bar is preferred
  • Minimum of 8+ years of corporate transactional and securities law experience required
  • Prior experience working in the corporate department of a nationally recognized law firm preferred
  • Demonstrated experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, employment law, immigration law, data privacy, risk management asset-backed financing, and contract management
  • Significant project management experience with a demonstrated ability to manage multi-task, multi-deadline, and cross-functional projects effectively
  • Occasionally may be required to travel within the Continental U.S. (20%)
