Description:

A Software Company is seeking a commercial attorney to join our global legal team. This role will provide critical legal support and guidance on all commercial engagements in North America and LATAM with a focus on supporting the legal aspects of the entire contract lifecycle, including data, privacy and general commercial engagements. This position will also work collaboratively with the other legal team members on various matters including general corporate issues, compliance and risk management, tax and governance.

Key Responsibilities:
  • Provide legal support for A Software Company's commercial agreements and relationships. This will include reviewing, drafting and managing SaaS/cloud agreements, strategic partnership agreements, services agreements, terms of service, statements of work, end-user agreements, data processing agreements, order forms and vendor and procurement agreements. This support will range from basic support using standard terms and conditions to complicated engagements with significant international counterparties.
  • Support company's procurement function with legal review of all vendor agreements.
  • Develop, recommend and update standard/recommended legal language for internal client use.
  • Negotiate effectively and constructively with internal partners, external clients and other third parties
  • Provide practical and understandable analysis and counsel on various legal issues and agreements including commercial transactions, data, privacy and intellectual property.

Requirements & Preferred Skills
  • Strong knowledge of SaaS (Software as a Service) agreements (both in a vendor and buyer role), data and privacy laws required
  • Experience with implementation and/or operation of a contract management system
  • Must be organized, responsive and extremely detail-oriented
  • Experience delivering practical advice under pressure and prioritizing work
  • Flexibility, teamwork and people skills essential
  • Tech savvy with a pragmatic and can-do mindset

  • Excellent command of written and verbal communication skills

Qualifications:
  • Juris Doctorate from accredited law school
  • 2 or more years of experience in drafting and negotiating commercial agreements with a variety of third parties involving enterprise software and software as a service
  • Prior in-house experience preferred
  • Prior start up high-growth technology company experience preferred
