We are hiring an Associate General Counsel to manage and coordinate all legal & compliance functions and workstreams of the SEC-registered A Financial Sciences Company business. The role will interface primarily with A Financial Sciences Company's managing partners, while also heavily collaborating with colleagues in the Legal & Compliance groups within broader Two Sigma.

Our new colleague will guide the continuous implementation and enhancement of A Financial Sciences Company's legal and compliance functions, providing advice in all areas of the business. The ideal candidate will have experience on both the transaction and fund formation/operation sides of venture capital, a demonstrated passion for startups and technology, outstanding communication and project management skills, and an enthusiasm to work within a small, dynamic and autonomous team while getting many of the benefits of a larger company platform.

You will take on the following responsibilities:
  • Advise A Financial Sciences Company's partners and Two Sigma colleagues on legal and compliance matters that pertain to A Financial Sciences Company's business
  • Work with external counsel and internal colleagues to create compliant marketing materials and fund formation documents
  • Manage drafting, negotiation, and execution (both in-house and through external counsel) of transaction documents, carry program documents, board resolutions, vendor contracts, NDAs, etc.
  • Keep organized and easily accessible records of firm legal agreements and other materials in compliance with regulations
  • In collaboration with broader TS legal team, draft and manage legal and compliance documents, policies and procedures
  • Collect, organize and analyze data to address legal or compliance matters
  • In collaboration with broader TS compliance team, implement and enhance our comprehensive compliance program

You should possess the following qualifications:
  • Bachelor's Degree and JD
  • 5+ years of experience in a corporate legal environment, with a strong preference for candidates with venture capital or private equity experience
  • A comprehensive understanding of the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, the latest SEC PE/VC marketing guidelines, and other relevant laws and regulations
  • Excellent verbal and written communication, interpersonal, and presentation skills
  • Strong problem-solving and decision-making capabilities
  • Proven ability to work independently, manage competing priorities, and adapt to a fast-paced, dynamic environment
  • Strong work ethic and attention to detail
  • High collaborative orientation, enthusiasm for working as part of a team
