About the role:
The Associate General Counsel and Assistant Corporate Secretary will lead and manage the corporate, securities and governance law function for the company. In this position you will be responsible for providing comprehensive support to the Board of Directors, executive management, and various board committees. Exceptional organizational abilities, attention to detail, strong communication skills and executive presence will be crucial in ensuring the smooth functioning of the public company disclosure and corporate governance processes. This position serves as an expert resource on corporate governance and regulatory issues related to filings, record keeping, policies, procedures, and reporting. The Corporate Secretary will also be supporting the executive compensation, treasury and finance functions. This position reports directly to the General Counsel.

Responsibilities:
Corporate and Securities
  • Provide oversight, guidance, advice and legal expertise on a vast range of issues related to A Global Business Advisory Firm's public company disclosures, including compliance with securities laws and NYSE listed company requirements, including the preparation of and oversight of the filing of all SEC filings, including the Company's 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, registration statements and private securities offerings and other SEC-related transactions, filings and documentation.
  • Assist with development and administration of policy and procedures related to all securities matters, including Insider Trading Policy, and related equity matters.
  • Provide guidance on the oversight of A Global Business Advisory Firm's disclosure controls and procedures.
  • Advise on capital market activities, including credit facilities, guarantees, outstanding notes and notes offerings, and a variety of other finance and treasury matters.
  • Providing timely, strategic and practical legal advice and support to the Treasury Department regarding business practices, corporate strategies, policy interpretation, compliance, contractual disputes, and legal trends.
  • Provide business counsel on matters related to Maryland corporate law.
  • Advise senior management on corporate compensation matters, including regarding equity and executive compensation.
  • Oversee inter-company restructuring and tax transactions.
  • Keep abreast of proposed and existing corporate and securities legislation and regulations, as well as NYSE listing requirements.
  • Act as a strategic partner to accounting, investor relations, treasury, human resources, communications, ESG and sustainability and other company leadership, and provide insightful, innovative thinking and problem-solving on critical legal and business issues.
  • Liaise with the Company's outside accounting firm.
  • Oversee FINRA compliance for US regulated subsidiaries.
  • Contribute to public company communications, including press releases and investor presentations.
  • Oversee, administer and liaise with transfer agent and DTCC/CEDE functions.

What you will need to succeed:
Qualifications:
  • J.D. Degree
  • Minimum of 15 years of relevant post-graduate professional employment law experience in corporate and securities law with major law firms and/or in-house. Significant in-house experience leading public disclosure and governance functions for a public company is strongly preferred
  • Extensive knowledge of and experience with securities regulations and governance, as well as NYSE listing requirements.
  • Admitted, active, and in good standing in at least one U.S. state
  • Ability to travel to clients and A Global Business Advisory Firm office(s) as needed
