Description:

Purpose:
The Associate General Counsel, is an individual contributor, reporting direct to the Senior Vice President-Legal & General Counsel, who will provide support for the Company to implement its strategic initiatives as it continues to grow its construction and technology business with the US Government and large multi-national cloud and data center businesses in the United States and around the world. The candidate will have in-depth knowledge of areas of the law that are key to the company's continued growth and a willingness to expand into other areas needed to support a small in-house law department. A lawyer with experience representing large construction prime and subcontractors in commercial and government contracts matters.

Location - Must be able to commute to Tyson's, VA as needed with the ability to work remote.

Overall Description:
  • Report direct to the SVP-Legal/General Counsel to implement strategic initiatives, with focus on contracts, licensing, and compliance matters.
  • Working with internal and external customers to negotiate agreements, address legal and develop resolutions to legal or regulatory issues or disputes.
  • Assist project teams In managing contract risk issues, communicating with customers and subcontractors on contract matters, developing legal positions and claims, and managing claims and litigation.
  • Provide proactive legal advice to internal groups.

Specific Responsibilities:
Ideal candidate will have strengths in specific areas of law that are key to Company's strategic goals with the ability and willingness to take on new responsibilities and areas of expertise in order to provide support to growing company with small law department Areas of potential expertise should include some of the following areas of law:
  • Construction contracting (federal and commercial)
  • Federal contracting (services)
  • Supply chain/subcontracts negotiation
  • Draft and negotiate commercial agreements
  • Construction Contracts with General contractors and owners
  • Subcontracts
  • Licenses for software, technology, trademark, and data
  • Evaluate legal issues and manage risks associated with commercial and government contracts
  • Counsel on the legal issues associated with the implementation and use of technology products in connection with the company's existing products and services;
  • Assist General Counsel in advising company on critical legal issues
  • Coordinate with General Counsel and other departments and specialists regarding risk management, litigation, compliance, information security, and technology development
  • Interest or background in Labor & Employment matters may also be applicable.

Qualifications:
  • 5 - 7 years of relevant legal experience in a law firm and/or similar in-house position which could include:
  • Experience representing large construction contractors (subcontractor or general contractor) on complex construction projects
  • Experience with large federal contractor in contracting and compliance matters
  • Litigation experience on construction contract claims, bond claims, liens or other disputes
  • Experience advising on various legal risks and obligations relating to technology and intellectual property matters including drafting and negotiating technology agreements
  • Juris Doctor or LLM degree from an accredited law school, and licensed to practice law in the U.S.
  • Strong oral and written communication skills, including the ability to present advice clearly and concisely.
  • Ability to identify and communicate legal risk and risk-based solutions to General Counsel and business leaders.
  • Eligible for a security clearance (although current clearance is not required)
  • Possess practical, independent judgment and self-confidence.
  • Be entrepreneurial and willing to find a practical solution to compliance and legal questions.
  • Be able and willing to solve challenges through innovation; able to work with minimal direction and supervision; proactive, not reactive.
