A High Technology Company Providing Engineering Consulting Services and Specialized Products to the U.s. is seeking an Associate Corporate Counsel to join a small in-house Legal and Compliance department team for an employee-owned defense contractor based in Crystal City, Arlington, VA. The Associate Corporate Counsel works under the Corporate Counsel in the Legal and Compliance Department to provide legal advice and policy counsel to corporate leadership and program management, including the Contracts and Finance departments on a variety of corporate and Government contracts legal matters.

Responsibilities:
  • Provides legal guidance in connection with customer, supplier and competitor issues.
  • Drafts, reviews and negotiates contracts, subcontracts, purchase orders, software license agreements, and other documents of varying complexity.
  • Reviews and asserts Government contract data rights assertions under the FAR and DFARS, including SBIR projects.
  • Reviews and provides guidance on intellectual property issues including patents, copyright, trademark, proprietary markings, proprietary information agreements and non-disclosure agreements.
  • Conducts legal research and analysis on sensitive matters.
  • Provides training on a variety of laws and policies affecting company personnel as needed.

Required Qualifications:
  • 4-7 years of relevant experience with U.S. Government defense contracting as a licensed attorney, either with the U.S. Government, in private practice or as in-house counsel.
  • Licensed attorney in good standing active in any of the 50 States or the District of Columbia.
  • US Citizenship with the ability to obtain and maintain a security clearance
  • Strong experience with U.S. Government defense contracting including knowledge of the FAR and DFARS in the Aerospace and Defense Industry. Strong experience with commercial business terms and conditions including purchase orders, subcontracts, prime contracts, and the ability to negotiate and execute agreements.
  • Strong experience with prime contractor issued subcontracts and DOD issued prime contracts, knowledge of standard contract management practices.
  • Strong experience with intellectual property, including intellectual property rights, Government data rights assertions, copyright, trademark, markings, proprietary information agreements and non-disclosure agreements.
  • Strong experience with software licensing agreements and other intellectual property agreements.
  • Highly developed writing and analytical skills. Strong dispute resolution, issue resolution and active problem solving skills. High level of organization and attention to detail. Strong ability to multi-task including prioritizing and timely resolution of multiple issues.

Preferred Qualifications:
  • Experience with procurement integrity and conflict of interest issues.
  • Experience in litigation in the form of bid protests and disputes/claims.
  • Experience with trade compliance including ITAR and BIS licensing.
  • Experience with employee benefits laws, qualified plans, and ESOPs.
  • Experience with employment laws, including termination, discrimination, workers compensation and wage laws.
  • Experience with corporate governance, establishing subsidiaries, articles of incorporation and bylaws.
  • Experience with insurance claims.
  • Experience as an empowered official or with OCR EASE, DECCS/DDTC or SNAP-R.
  • Experience with Microsoft Office Suite, particularly Microsoft Excel, Word and SharePoint
