Description:

A publicly-traded corporation operating in the business services and technology sector, with a worldwide presence, is currently seeking an accomplished attorney to serve as its Assistant General Counsel to assist with SEC reporting and securities compliance matters, capital markets transactions, and general corporate governance.

This individual should possess a strong background in corporate law gained from private practice or in-house legal work, ideally both, with demonstrated experience with both SEC reporting and debt/equity transactions.

Key Responsibilities:
  • Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, and proxy statements, in collaboration with key company stakeholders.
  • Assist with public company communications, including press releases and investor presentations.
  • Develop, implement, and maintain policies and procedures to ensure SEC and NASDAQ compliance.
  • Advise on finance and capital markets transactions, including underwritten debt and equity offerings, private placements, loan agreements, and other treasury matters. Draft, review and negotiate applicable transaction documents.
  • Prepare, establish and revise corporate policies and standard form agreements.
  • Partner with executive team to assess and implement crisis management, legal requirements and mitigate risk.
  • Manage outside counsel, where appropriate.
  • Stay up-to-date with relevant laws and regulations affecting the company's industry and operations and consistently support compliance.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and admitted to at least one state bar (California preferred).
  • 2-4 years relevant experience at either a major law form, or a combination of major law firm and in-house.
  • Deep experience with a broad range of securities law matters, including public company reporting rules, NASDAQ listing rules, the Sarbanes-Oxley Act, and preparation and review of SEC-compliant filings and disclosures, is required.
  • Experience with public debt and equity issuances.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively with cross-functional teams.
  • Proven ability to handle complex legal issues and provide clear, practical legal and strategic guidance.
  • Strong negotiation and contract drafting skills.
  • A talent for anticipating legal issues and assessing potential risks.
  • High proficiency in understanding business operations.
  • Demonstrated professionalism, ethics, and unwavering integrity.
  • Ability to work at Company's Santa Monica office at least 2 days per week is a plus.
  • Experience with mergers and acquisitions is preferred.
