Job Summary:
The Assistant General Counsel will serve as a primary resource, under the direction of the Vice President and General Counsel-US, for the Legal Department's handling and management of legal operations, related organizational risk management and claim/litigation support. This position is responsible for supporting General Counsel in all legal matters and coordinating activities related to product liability claims including interacting with third party claims adjudicators. This role may be called upon to compile, keep and maintain various company records, including Board and audit committee meetings notes. This position will perform or assist in the duties and responsibilities listed below in addition to others that may be assigned.

Principal Job Duties & Responsibilities
  • Assist the General Counsel in all aspects of management of litigation, including but not limited to handling service of process; subpoenas, assisting with legal-hold notices; preparing and filing legal documents; creating and maintaining legal files; handling and reviewing medical records; and conducting legal research.
  • Responsible for driving improved efficiency and effectiveness of the legal function through the identification, development and administration of tools and practices to streamline and optimize workflows, reduce expenses, and improve outcomes.
  • Responsible for the management of international/global product liability claims, including the initial assessment of the claim; serving as a liaison between the company's product liability insurance company, pertinent company personnel and external legal counsel; and maintenance of records and documents related to these claims and legal matters.
  • Perform initial evaluations of claims and litigation, including research and analysis of applicable laws, regulations, and policies as well as exposure and liability to assist General Counsel in formulating a litigation strategy.
  • Oversee the organization and management of the Legal Department's physical and electronic files, including the maintenance of corporate records- state filings, business licenses, shareholder records, board meeting minutes, and corporate resolutions.
  • Coordinates the record production process. This includes handling confidential, sensitive, and privileged information, reviewing requests, assessing production costs and expenses, conducting a review and evaluation of records for relevance, responsiveness, and privileged.
  • Reviews business contracts, leases, and other legal documents as guided by General Counsel.
  • Proactively identifies legal risks and works with General Counsel to develop mitigation measures for various departments within the company.
  • Collaborate with all company departments on cross-functional and enterprise level projects and initiatives.
  • Prepare and deliver regular reporting on status and developments related to the legal function risk management function, as directed by General Counsel.
  • Ensures compliance with all corporate policies and procedures, to ensure that the highest level of system and data confidentiality, security, integrity, and availability is maintained.
  • Support the company's commitment to risk management and protecting the integrity and confidentiality of systems and data.
  • Assists in the coordination and management of the Legal Department's schedule for all company legal related matters.
  • Identifies risk exposures and provides solutions/training to mitigate them.
  • Assists management with identifying risk mitigation strategies and controls.

Required Skills, Knowledge, and Experience
  • Juris Doctorate (JD).
  • Active member in good standing with the Tennessee Bar.
  • At least 3 years of law firm, corporate legal department, federal or state government or related area.
  • Must be able to work independently and exercise judgment within the parameters of assigned responsibilities.
  • Ability to analyze and interpret legal issues and prepare legal opinions on issues arising in the Company.
  • Ability to develop legal strategies in a growing, ever-evolving industry.
  • Proficient in Microsoft Office Suite.
  • Proficient in the use of legal research software.
  • Strong organizational skills.
  • Ability to maintain highly confidential information.
  • Ability to prioritize tasks and handle multiple tasks simultaneously.
  • Requires effective oral and written communication skills.
  • Availability to travel as needed.
