The Assistant General Counsel is responsible for assisting the Associate General Counsel (AGC) in negotiating, structuring, and preparing the necessary documents in connection with acquisitions, affiliations, joint ventures, management agreements, and similar agreements on behalf of West Virginia United Health System, its member hospitals including, West Virginia University Hospitals, the clinical practice plan of West Virginia University, and WVUHS Medical Group (SMG) (collectively, the Organizations). The Assistant General Counsel is also responsible for assisting the AGC in managing the fundamental corporate affairs of such Organizations. The Assistant General Counsel is also responsible for other day-to-day duties as assigned by the AGC and/or the Assistant Vice President and Senior Corporate Counsel (AVP), and/or the Chief Legal Officer (CLO).

Minimum Qualifications:
Education, Certification, And/Or Licensure:
  1. Juris Doctor.
  2. West Virginia or Pennsylvania Bar membership or eligibility

Experience:
  1. Three (3) years of substantial experience in corporate, transaction, contract, and regulatory law in a law firm or in-house legal department OR Three (3) years of experience in litigation.

  1. Provides assistance and back-up coverage for the AGC in the performance of the AGC's responsibilities.
  2. Maintains an ongoing understanding of matters in which the AGC is involved so as to be capable of providing legal guidance in the AGC's absence.
  3. Stays current on trends in the law and, particularly, corporate, transaction, corporate and health care law.
  4. Provides day-to-day legal advice to such Organizations' boards of directors, officers, employees, and medical staffs regarding compliance with all applicable laws.
  5. Is knowledgeable of legal trends and standards which regulate health care facilities and patient care and works to ensure compliance with these standards.
  6. Provides advice regarding compliance with Medicare and Medicaid fraud and abuse, Stark, and tax exemption.
  7. Updates and revises articles of incorporation, bylaws, and related documents.
  8. Provides advice regarding the development of policies and procedures.
  9. Responds in a timely manner to requests for advice or information.
  10. Prepares and reviews contracts and/or agreements between the Organizations and outside agencies or organizations.
  11. Demonstrates regard for the dignity, respect, and safety of all patients, family members, visitors, and personnel as defined in the philosophy of such organizations.
  12. Displays a caring and courteous attitude and represents such organizations in a positive manner to all persons 100% of the time.
  13. Maintains the confidentiality of patient and department information 100% of the time.
  14. Promotes and contributes positively to intradepartmental and interdepartmental relationships.
  15. Adheres to applicable dress codes as observed by supervision.

  17. Maintains proper attendance and punctuality to ensure that such organizations are operated in an efficient and cost-effective manner.
  18. Maintains proper attendance and reports to work on time in accordance with applicable policies.
  19. Provides adequate notice to supervisory personnel prior to absence or tardiness in accordance with applicable policies.
  20. Participates in meeting the goals and objectives of the department to ensure that the department contributes to the attainment of such organizations' goals and objectives.
  21. Promotes and contributes positively to the teamwork of the department by volunteering to assist co-workers, contributing ideas and problem solving with coworkers.
  22. Participates in planning and implementing change and maintaining and improving productivity through attendance and participation in staff meetings, task forces, projects, and discussions.
  23. Diligently and in a responsible and timely manner pursues and addresses legal needs of such organizations as they arise.
