Purpose: To provide legal support to Autism Speaks (AS) to ensure that the organization proactively manages its external relationships in order to effectively and efficiently achieve its mission, goals and strategic objectives. Reporting to the Chief Financial Officer, Contract Attorney will assist in delivering high quality services, prepare and review legal correspondence.
Manage requests for legal advice from the organization
Manage the liaison with the external lawyers to ensure the optimum use of pro bono lawyers
Give legal guidance to the AS teams early in the negotiation process and where relevant lead the contractual negotiation
Act as the primary liaison between the external legal firms and AS in support of the negotiation process
Legal review of basic agreements – mainly venue and event related agreements
Assist with contract completion and execution, including comparing versions, tracking and compiling exhibits, and coordinating signatures
Ensure AS only agrees to contractual terms (including insurance, indemnities, confidentiality clauses) that it can meet
Set up and manage the process to track all contracts to give timely visibility of contract renewals along with ensuring all contracts come through the proper review
Maintain contract database
Track all financial obligations to ensure they are brought into the budget process and AS has the required visibility as to deposits etc.
Standardize AS contracts so that we can move to negotiations using AS standard terms
Advise on and monitor compliance with Corporate Governance
Perform other special projects as may be assigned
Support outside counsel representing AS (if required)
Stay abreast of current regulations, guidelines, laws and policies that are relevant to the organization
Exceptional drafting, negotiation and organization skills

Position Requirements Education: Bachelor’s Degree from accredited institution or program
Minimum of 5 years experience as a contracting attorney in a corporate law firm or in-house legal department
Proven experience as an attorney or legal counsel in a non-profit or related environment preferred
Excellent knowledge and understanding of corporate law and procedures
Strong knowledge of drafting employment and simple consultant agreements
Ability to manage multiple responsibilities and time-sensitive deliverables with a high degree of quality and accuracy
